Fireman’s Brew announces new stock offering for California investors

May 14, 2014Chris Crowell

Firemans Brew stock offering
Fireman’s Brew is out with a new stock offering.

Fireman’s Brew Inc., a Los Angeles-based craft beer company founded by two firefighters, is opening a new private offering for California residents.

In accordance with the provisions of California Corporations Code Section 25102(n), the company is offering 1 million shares of common stock at $1.00 per share for an aggregate offering price of $1 million. The minimum purchase is 5,000 shares for $5,000*.

Prospective investors must be residents of the state of California and must be qualified purchasers as defined under California Corporations Code Section 25102(n)(2).

You may recall Fireman’s Brew’s last offering in 2012. From our interview at the time:

In 2013, Fireman’s Brew plans to double their numbers. The brewery announced a private stock offering to help raise the necessary capital they need to continue their booming expansion and to build Fireman’s Brew into a national brand. Some quick details on that offering, which was announced in October 2012: The company offered 6,250,000 shares of common stock at $0.80 per share for an aggregate offering price of $5 million. The minimum purchase is 6,250 shares for $5,000. Prospective investors must be residents of the state of California.

Conceived by two Los Angeles-based firefighters, Fireman’s Brew grew out of their vision to create a premium line of handcrafted ales and lagers that would quench their thirsts after an exhausting day on the firelines. Fireman’s Brew three-award winning beers include:

  • Fireman’s Brew: Blonde (Pilsner-style Lager; 5 percent ABV)
  • Fireman’s Brew: Brunette (German-style Doublebock; 8 percent ABV)
  • Fireman’s Brew: Redhead (Amber Ale; 5.5 percent ABV)

In addition, the company is committed to giving back to the firefighter community upon which it was founded by donating a portion of company proceeds to the National Fallen Firefighters Foundation — the nation’s leading non-profit organization dedicated to honoring fallen firefighters and providing assistance to their surviving families.

Fireman’s Brew is distributed through leading beverage wholesalers in 14 states including: California, Arizona, Nevada, Colorado, Nebraska, Iowa, Oklahoma, Illinois, Kansas, Virginia, Rhode Island, New York, Ohio and Hawaii. The company also produces and distributes coffee and soft drinks.
